These Terms and Conditions ("Agreement") govern all business transactions and interactions between Pure Logitech LLC, doing business as The Cold Chain Store ("Company," "we," "our"), and the purchasing entity ("Client," "you"). By placing an order or submitting an enquiry, you accept and are bound by these terms.
1. Definitions
"Products" means all cold chain packaging materials, temperature data loggers, environmental monitoring systems, phase change materials, and related items sold by the Company. "Validation Data" means documentation including IQ/OQ/PQ protocols, test reports, and qualification summaries supplied with products. "Client" means any business entity transacting with the Company.
2. Orders & Acceptance
All purchase orders are subject to written acceptance by the Company. The Company reserves the right to decline any order without obligation. Orders become binding upon written confirmation (email is acceptable). Minimum order quantities may apply to certain product lines.
3. Pricing & Payment
- All prices are quoted in USD unless otherwise stated and exclude applicable taxes, duties, and freight charges.
- Payment terms are net 30 days from invoice date for approved accounts, or as stated in the quotation.
- New clients may be required to prepay or provide a letter of credit for initial orders.
- The Company reserves the right to revise prices with 30 days' notice for standing orders.
- Late payments may incur interest at 1.5% per month on the outstanding balance.
4. Delivery & Risk of Loss
Unless otherwise agreed in writing, all shipments are made EXW (Ex Works) from the Company's designated facility. Risk of loss transfers to the Client upon handover to the carrier. Delivery timelines are estimates; the Company shall not be liable for delays caused by carriers, customs, or force majeure events.
5. Product Specifications & Validation
- All products are supplied with validation data and documentation as specified in the agreed product catalogue or quotation.
- Validation data reflects testing under defined conditions. The Client is responsible for verifying suitability for their specific lane, payload, and regulatory requirements.
- The Company provides validation support as a service but does not assume regulatory responsibility for the Client's operations.
- Product specifications may be updated to maintain or improve compliance; the Company will notify Clients of material changes.
6. Regulatory Compliance
Products are designed and validated to meet applicable standards including GMP, GDP, IATA, 21 CFR Part 11, CE marking, and WHO PQ guidelines as indicated in product documentation. The Client is solely responsible for ensuring products are used in a manner consistent with their own regulatory obligations and applicable local laws.
7. Intellectual Property
All product designs, validation methodologies, software, documentation, and branding are the exclusive intellectual property of Pure Logitech LLC. No licence to reproduce, reverse-engineer, or distribute is granted unless explicitly agreed in a separate written agreement.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary information exchanged during the course of business. Client enquiries, specifications, and business details will not be shared with third parties without consent, except as required by law.
9. Warranty & Returns
- Products are warranted to be free from defects in materials and workmanship for 12 months from the date of shipment, unless otherwise stated.
- Warranty does not cover damage resulting from misuse, improper conditioning, storage, or handling outside specified parameters.
- Returns require prior written authorisation (RMA). Unauthorised returns will not be accepted.
- Custom or bespoke products are non-returnable unless defective.
10. Limitation of Liability
The Company's maximum liability for any claim arising under this Agreement shall not exceed the value of the specific order giving rise to the claim. The Company shall not be liable for indirect, incidental, consequential, or punitive damages, including product loss, regulatory penalties, or business interruption, even if advised of the possibility of such damages.
11. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government restrictions, supply shortages, or transportation disruptions. The affected party shall notify the other promptly and make reasonable efforts to resume performance.
12. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall first be subject to good-faith negotiation, followed by binding arbitration under the rules of the American Arbitration Association (AAA) if unresolved within 30 days.
13. Export Controls
The Client agrees to comply with all applicable export control laws and regulations. Products may not be resold or transferred to embargoed countries or restricted parties as defined under US Export Administration Regulations (EAR) and OFAC guidelines.
14. Data Privacy
The Company collects and processes business contact data in accordance with its Privacy Policy and applicable data protection laws including GDPR (EU) and CCPA (California). Data is used solely for order processing and business communications.
15. Amendments
The Company reserves the right to amend these Terms and Conditions at any time. Updated terms will be posted on the website and will apply to orders placed after the effective date. Continued business dealings constitute acceptance of revised terms.
16. Entire Agreement
This Agreement, together with any accepted purchase order and quotation, constitutes the entire agreement between the parties and supersedes all prior communications, representations, or agreements relating to the subject matter herein.
